1. General Provisions
1.1 Introduction
Eirexecutive, located at 26/27 Upper Pembroke Street, Dublin 2, Ireland (hereinafter referred to as "Eirexecutive"), provides users with the capability to book transportation services through its online platform. This platform integrates third-party online platforms and mobile applications ("Sites"), which are collectively referred to as the "Eirexecutive Packages".
1.2 Nature of Services
Eirexecutive's primary service is to facilitate the arrangement of transportation for users. This is done by coordinating with independent ride service providers, known as Independent Transport Provider ("ITP"). These arrangements are made under the regulatory framework established by the National Transport Authority ("NTA"). It is important to note that while Eirexecutive arranges these services, it does not itself provide the transportation.
1.3 Application of Terms and Conditions
The General Terms and Conditions ("T&Cs") outlined herein are an integral part of every agreement made between the user and Eirexecutive in relation to the arrangement of business service contracts. These T&Cs govern the specifics of the transportation services offered and form the basis of the contractual relationship between the user and Eirexecutive.
1.4 User's Direct Claim Against ITP
The T&Cs also serve to clarify that the user holds a direct claim against the specific ITP providing the transportation service. This means that any issues or disputes regarding the actual transportation service must be addressed directly with the ITP.
1.5 Rejection of Conflicting Terms
Any general terms and conditions presented by the user that conflict with these T&Cs are expressly rejected. This rejection applies even if the user's terms are included in confirmation letters or accepted services. Eirexecutive does not recognize any conflicting terms unless explicitly agreed upon in writing by its management.
1.6 Exception for Written Agreements
Should there be any terms that deviate from those outlined in these T&Cs, such terms will only be considered valid if they have been explicitly agreed to in writing by Eirexecutive's management. This provision ensures that any exceptions to these T&Cs are formally documented and approved by the appropriate authority within Eirexecutive.
2. Contractual Relationship and Contract Conclusion
2.1 Contractual Relationship
a) Independent Role of Eirexecutive: Eirexecutive does not provide transportation services directly nor through third-party agents. Instead, Eirexecutive offers users a claim for transportation against a Transportation Service Provider (ITP), independent of Eirexecutive.
b) Contracts with ITP: Eirexecutive independently concludes the necessary agreements with the ITP on its own behalf, thereby granting the user a direct claim for transportation. This arrangement is termed a "contract for the benefit of third parties" or "transportation contract for the benefit of the user."
c) User's Direct Claims: Based on this arrangement, the user is enabled to request transportation services and assert related claims directly against the ITP.
d) Scope of Agreement: The agreement between Eirexecutive and the user pertains solely to the arrangement of a business service contract and does not extend to the actual provision of transportation services.
e) Compensation Structure: Compensation to Eirexecutive includes fees for arranging business services as well as the distribution of payment to the ITP for the transportation services provided.
2.2 Conclusion of Contract
a) Ride Request: By submitting a completed booking form via the Eirexecutive Packages or arranging services by telephone, the user makes an offer to conclude a business service contract (referred to as a "ride request").
b) Acknowledgement of Receipt: Upon receiving the ride request, Eirexecutive will send an email confirming receipt of the ride request. This email serves only as an acknowledgement and does not confirm the conclusion of a contract.
c) Booking Confirmation: The business service contract is formally concluded only when Eirexecutive issues a separate declaration of a "booking confirmation" via email.
d) User's Rights Post-Confirmation: Once the booking confirmation is issued, the user is directly entitled to request and claim the ride service from the ITP, solidifying the user's direct claim against the ITP.
3. User Registration Obligations
3.1 Accuracy of Information
The user is obligated to ensure that all information provided to Eirexecutive, whether submitted directly or through another person, is complete and accurate. This includes, but is not limited to, personal details, contact information, and payment information.
3.2 Updates to Information
The user must promptly update Eirexecutive with any changes to the provided information to maintain its accuracy. This includes changes in personal details, contact information, and any other relevant data that might affect the provision of services.
3.3 Verification of Information
Eirexecutive reserves the right to verify the information provided by the user. The user agrees to cooperate with any verification processes conducted by Eirexecutive to ensure the accuracy and legitimacy of the provided information.
3.4 Consequences of Inaccurate Information
Providing false, misleading, or incomplete information may result in the suspension or termination of the user's account and services. Eirexecutive reserves the right to seek compensation for any damages or losses incurred due to inaccurate or fraudulent information.
3.5 Prohibition of Automated Registrations
Automated registrations are strictly prohibited. All registration processes must be carried out manually by the user or an authorized representative to ensure the integrity and authenticity of the registration information.
3.6 User Responsibility for Account Security
The user is responsible for maintaining the security and confidentiality of their account credentials. Sharing account credentials with unauthorized persons is prohibited. The user must notify Eirexecutive immediately of any unauthorized use or breach of security regarding their account.
4. Transportation Contract Details
4.1 Ride Types and Service Changes
4.1.1 Ride Types
Depending on local availability, users can select from various ride types including:
- Airport Transfer: This service offers transportation to and from airports after the flight lands, and the Chauffeurs will track the flight for timely pick-up.
- City to City Ride: This service provides direct, point-to-point transfers between cities without stops unless pre-arranged, with pricing based on distance; additional stops or detours may incur extra charges.
- Hourly Ride: This service offers a vehicle and Chauffeurs for a specified number of hours, allowing multiple stops and destinations within the booked time, with pricing based on the number of hours booked; exceeding the booked hours will result in additional hourly charges.
4.1.2 Transfer and Long-Distance Rides
Prices for transfer and long-distance rides are determined based on the start and destination addresses provided at the time of booking. Users may request stopovers during their ride, which will be subject to additional fees. These fees are calculated based on the duration and distance of the stopovers and are added to the original fare. It is important for users to specify all desired stopovers at the time of booking to ensure accurate pricing and availability.
4.1.3 Hourly Bookings
Hourly bookings are calculated based on the duration for which the vehicle is booked. The booking period starts at the agreed pickup time and ends within the city area of the pickup location. Users should be aware that if the ride exceeds the booked hours or kilometers, additional charges will apply. These charges are calculated based on the ITP's rates for extra time or distance covered. Users are encouraged to plan their rides accordingly to avoid unexpected costs.
4.1.4 Booking Reference
Upon acceptance of a booking, Eirexecutive Ltd. will issue a unique booking reference number. This reference number is a critical part of the booking process and serves as an identifier for the reservation. Clients must quote this booking reference number in all related correspondence, whether communicating changes, inquiries, or confirmations. The booking reference number ensures accurate and efficient handling of all communications and helps maintain a clear and organized record of each booking.
4.1.5 Payment Obligations
Eirexecutive Ltd. requires that all payment obligations are fulfilled as part of the booking process. Failure to finalize payment, whether it be the initial deposit or the remaining balance, may result in the withdrawal of account facilities and transport services. It is the hirer's responsibility to ensure that all payments are completed promptly to avoid any disruption in service. The company reserves the right to enforce this clause to maintain service efficiency and reliability. Timely payment is crucial for securing the booking and ensuring that all arrangements proceed smoothly without any inconvenience to the client.
4.2 Pickup Time
The agreed pickup time for each ride is specified in the booking confirmation. For airport or train station pickups, users are required to provide their flight or train number to facilitate tracking. If there are delays in the flight or train arrival, the pickup time will be adjusted accordingly. This ensures that the ITP can accommodate the user despite changes in the travel schedule. However, users should inform Eirexecutive promptly of any changes or delays to ensure smooth coordination.
4.3 Vehicle Class and Upgrades
Users have the option to choose from different vehicle classes based on regional availability. The vehicle classes presented during the booking process are illustrative examples, and the actual vehicle provided may vary. Eirexecutive reserves the right to upgrade the vehicle class at no additional cost to the user, based on availability. This upgrade ensures that users receive the highest possible service level without incurring extra charges.
4.4 Transport Safety and Consequences
4.4.1 Luggage and Animals
The number of luggage pieces included in the ride is specified in the booking confirmation. Users must declare any additional or bulky luggage, weapons, or animals at the time of booking. The ITP has the right to refuse transport of any unscheduled items. Extra charges may apply for additional items that are permitted. Users are advised to accurately specify their luggage and any special requirements to avoid refusal of service or unexpected charges.
4.4.2 Transport of Children and Minors
For the safety of children, users must specify the need for child restraints in their ride request. Local regulations may prohibit the transport of unaccompanied minors, and the ITP may refuse to transport them if such regulations apply. It is the user's responsibility to ensure that appropriate arrangements are made for the transport of children and minors.
4.4.3 Passenger and Luggage Limits
The ITP may refuse to transport passengers if the space and safety conditions are not met. This includes situations where the number of passengers exceeds the vehicle's capacity or the amount of luggage exceeds what was specified during booking. Users must adhere to the specified limits to ensure their ride proceeds smoothly.
4.4.4 Impeded Transport
If mandatory requirements (such as declaring additional luggage or the need for child restraints) are not communicated correctly, the ITP may refuse transport. In such cases, Eirexecutive is still entitled to compensation for the booking. Users must ensure they provide all necessary information accurately to avoid service disruptions and financial penalties.
4.5 Delays
Exceptional situations, such as severe weather, traffic incidents, or other unforeseen events, may cause delays or cancellations of the scheduled rides. Users must accept the possibility of longer waiting times or short-notice cancellations in such scenarios. Eirexecutive and the ITP will make reasonable efforts to inform users of any delays and reschedule or provide alternative arrangements where possible. However, users should be prepared for such contingencies as part of their travel planning.
4.6 Cancellations, Rebookings, and No-Show Rides
4.6.1 Cancellation
- Free Cancellation Window: Users can cancel their bookings free of charge if the cancellation is made more than one hour before the agreed pickup time. This allows users flexibility in their travel plans without incurring any penalties for early changes.
- Chargeable Cancellations: If a cancellation is made within one hour of the agreed pickup time, the full price of the ride will be charged. This policy ensures that ITPs are compensated for the short-notice cancellation and potential loss of income.
- Cancellation Process: All cancellations must be made using the designated function on Eirexecutive's website or mobile application. This ensures that cancellations are processed efficiently and recorded accurately.
4.6.2 Rebookings
- Rebooking as New Booking: Any rebooking request is treated as a new booking. This means that the originally agreed ride is subject to the cancellation policy, and the user must accept any applicable charges for the original booking.
- Cancellation Rules Apply: The cancellation rules outlined in section 4.6.1 apply to the originally agreed ride. If a user rebooks, they must adhere to the same cancellation timelines and potential charges as the initial booking.
4.6.3 Cancellation/Refund Policy
- Standard Vehicle Cancellations: Cancellations for standard vehicles must be made at least 24 hours prior to the scheduled local pickup time. This policy allows Eirexecutive Ltd. to efficiently manage its fleet and accommodate other clients. Any cancellations made within this 24-hour window will be subject to our full payment charge policy.
- Full Payment Charge: For cancellations made within 24 hours of the booking date, the hirer will be charged the full amount of the booking. This policy is in place to cover the costs associated with last-minute cancellations and to compensate for the lost opportunity to reallocate the vehicle and chauffeur to another client.
- Refund Conditions: Cancellations made outside of the 24-hour window will be eligible for a full refund or will incur no charge. This policy ensures fairness and provides flexibility to clients while allowing sufficient notice for the company to adjust its scheduling and resources accordingly.
- Extended Trip Cancellations: For trips that extend over a minimum of two days, cancellations must be made at least 3 days prior to the arrival date. If a cancellation is made within this 3-day period, the hirer will be charged the full payment for the booking. This extended notice period is necessary due to the extensive planning and resource allocation involved in longer trips.
- Timing Changes: Any changes to the daily timings of the booking must be communicated in writing at least 1 day prior to the use of the vehicle. This requirement ensures that Eirexecutive Ltd. can accommodate the requested changes and adjust its schedule and resources accordingly. Failure to provide sufficient notice may result in the inability to honor the requested changes.
4.6.4 No-Show Rides
- Definition of No-Show: A no-show is defined as a situation where the user or their guest does not appear at the pickup location within the specified time after the agreed pickup time. This is typically a 15-minute window unless otherwise specified in the booking confirmation.
- Full Compensation for No-Show: In the event of a no-show, the user is required to fully compensate Eirexecutive for the ride. This policy ensures that ITPs are remunerated for their time and resources even if the ride is not utilized.
4.7 Behavior in the Vehicle
- Adherence to Road Traffic Rules: Users must follow all applicable road traffic rules while being transported. This includes wearing seat belts, not distracting the Chauffeurs, and complying with any local regulations.
- Following ITP Instructions: The ITP has the responsibility for safely completing the ride and users must follow any instructions given by the ITP. This includes directions on entering and exiting the vehicle, seating arrangements, and any other safety-related guidance.
- Prohibited Behaviors: Certain behaviors are strictly prohibited during the ride. This includes but is not limited to:
- Opening doors while the vehicle is in motion.
- Smoking inside the vehicle.
- Consuming food or beverages without prior permission.
- Engaging in any activities that may distract the Chauffeurs or compromise safety.
- Additional Costs for Non-Compliance: If a user engages in prohibited behaviors that result in the need for additional cleaning or if the vehicle becomes unserviceable, the user will be responsible for covering these additional costs. This ensures that the ITP is compensated for any disruptions caused by the user's actions.
- Responsibility for Damages: Users are responsible for any damages caused to the vehicle during the ride. This includes damage to the interior or exterior of the vehicle, and the cost of repairs will be charged to the user.
- Maintenance of Cleanliness: Users must maintain the cleanliness of the vehicle during their ride. This includes properly disposing of any trash and avoiding actions that may soil the vehicle. Any additional cleaning required due to the user's actions will result in extra charges.
5. Remuneration and Payment
5.1 General Principles
The booking confirmation specifies the remuneration claim by Eirexecutive. This remuneration is determined based on various factors including, but not limited to:
- a) Vehicle Class: The class of the vehicle chosen by the user, with higher-end classes incurring higher costs.
- b) Route and Distance: The distance between the start and destination addresses, including any additional kilometers traveled beyond the initially agreed route.
- c) Special Requests: Any additional services or special requests made by the user, such as specific pickup times, additional stops, or other personalized services.
5.2 Ride Changes
Users may modify their ride requests even after the business service contract has been concluded. The following conditions apply:
- a) Recalculation of Services: Any additional services or changes requested will be recalculated based on the new requirements.
- b) Additional Charges: Users will be informed of any additional charges incurred due to the changes. These charges will be based on the ITP’s rates for the requested modifications.
5.3 Other Charges
5.3.1 Waiting Times
- a) Airports and Train Stations: No surcharges are applied for waiting times up to 60 minutes.
- b) Other Locations: No surcharges are applied for waiting times up to 15 minutes.
- c) Additional Waiting Time: Charges for additional waiting time beyond the specified free period will be applied on a per-minute basis. The rate per minute will be outlined in the invoice.
- d) Included Waiting Time: For airport pickups, Eirexecutive Ltd. includes 60 minutes of waiting time in the quoted rate.
- e) Calculation of Waiting Time: The waiting time for airport pickups is calculated from the official flight arrival time as listed on the Airport Authority website.
- f) Other Pickups: For all other types of pickups, a 15-minute waiting period is similarly included in the rate.
- g) Extra Waiting Charges: If the waiting time exceeds the included 60 minutes for Airport pickup or 15 minute for other pickups, additional waiting time will be charged at the standard hourly rate.
- h) Timely Arrival: Passengers are responsible for ensuring their timely arrival at the designated pickup location.
5.3.2 Additional Kilometers for Hourly Bookings
- a) Inclusive Kilometers: Each hourly booking includes a specified number of kilometers.
- b) Exceeding Kilometers: If the ride exceeds the inclusive kilometers, the user will be invoiced separately for the additional distance traveled.
5.4 Payment Modalities and Transaction Fees
- a) Credit Card: Users can pay using major credit cards accepted by Eirexecutive.
- b) Bank Transfer: Users can also opt to pay via bank transfer.
- c) Bank Transfers: Users are responsible for any transaction fees associated with bank transfers.
- d) Credit Card Payments: Typically, no additional fees are charged for credit card payments unless otherwise specified in the booking confirmation.
5.5 Warning Notices and Failed Credit Card Debits
- a) Reminder Fees: If a payment is not received by the due date, Eirexecutive reserves the right to send reminder notices. Reasonable reminder fees may be charged for these notices to cover administrative costs.
- b) Failed Credit Card Debits: In the event of a failed credit card transaction, any expenses incurred by Eirexecutive will be charged to the user.
5.6 Invoice Transmission and Due Date
- a) Electronic Invoices: Invoices will be sent electronically to the user’s registered email address.
- b) Credit Card Payments: Payment is due immediately upon the conclusion of the ride.
- c) Bank Transfers: Payment is due according to the terms specified in the invoice.
5.7 Currency and Exchange Rates
- a) Currency: All payments must be made in the currency specified in the booking confirmation.
- b) Exchange Rates: If users make payments in a different currency, they are responsible for any exchange rate differences and currency conversion fees.
5.8 Advance Payments and Security Deposits
- a) Advance Payments: Eirexecutive may require advance payments for certain bookings.
- b) Security Deposits: In some cases, a security deposit may be required.
5.9 Vouchers
- a) One-Time Use: Vouchers issued by Eirexecutive are for one-time use only.
- b) Non-Combining: Vouchers cannot be combined with other vouchers, discounts, or promotional offers.
- c) No Cash Redemption: Vouchers cannot be redeemed for cash under any circumstances.
5.10 Admin Fee
- a) Admin Fee Rate: All bookings are subject to an administrative fee.
5.12 Confirmations
- a) Reservation Number: Upon booking, Eirexecutive will assign a unique reservation number.
5.13 Specific Vehicles
- a) Indicating Preferences: If a specific vehicle is required, clients should indicate this preference at the time of booking.
- b) Right to Substitute: Eirexecutive reserves the right to provide a vehicle that best suits the booking class if the specified vehicle is not available.
- c) Notification of Substitution: Clients will be notified in advance if a substitute vehicle is necessary.
5.14 Additional Luggage
- a) Notification of Needs: Clients requiring additional luggage space should inform Eirexecutive at the time of booking.
- b) Luggage Capacity Guidelines: Eirexecutive will provide guidelines on the luggage capacity of the booked vehicle.
- c) Additional Charges: If additional luggage space is required beyond the vehicle’s capacity, extra charges may apply.
5.15 Private Flights
- a) Verification of Arrival Times: For clients arriving by private flights, Eirexecutive will verify the arrival time with the local Fixed-Base Operator (FBO).
- b) Adjustment of Pickup Schedule: Based on the verified arrival times, the pickup schedule will be adjusted accordingly.
- c) Additional Waiting Time: Any additional waiting time beyond the agreed schedule will incur an extra fee.
5.16 Amendments to Bookings
- a) Accurate Booking Details: Clients are responsible for providing accurate booking details.
- b) Timely Notification of Changes: Changes to the booking details must be communicated to Eirexecutive as soon as possible.
- c) Approval of Changes: Changes will only be implemented once the client approves the terms.
5.17 Costs and Surcharges
- a) Additional Costs: Clients may incur additional costs such as parking fees, tolls, and other surcharges during the journey.
- b) Night Surcharges: Surcharges may apply for journeys conducted during certain times.
- c) Transparent Billing: Eirexecutive will provide a detailed breakdown of all additional costs and surcharges.
5.18 Cancellations
- a) Cancellation Process: Cancellations should be processed directly through Eirexecutive's website.
- b) Close Protection Officer: Specific terms apply to cancellations made within 48 hours of the start time.
5.19 No Shows
- a) Definition of No-Show: If no contact is made with an authorized person within 30 minutes of the pickup time, a no-show fee will apply.
- b) No-Show Fee: The fee compensates Eirexecutive for the time and resources reserved.
5.20 Refunds
- a) Handling Fee: Refunds are subject to a handling fee.
- b) Conditions for Refunds: Refunds are not issued under certain circumstances.
- c) Processing Refunds: Refund requests must be submitted to Eirexecutive for review.
5.21 Hire Price
- a) Guaranteed Price: The price quoted at booking confirmation is guaranteed unless the itinerary changes significantly.
- b) Adjustments: Any adjustments to the booking may result in changes to the final price.
- c) Travel Requirements: Clients are encouraged to confirm the accuracy of their travel requirements.
5.22 Dogs Policy
- a) Notification Requirement: Clients are required to notify Eirexecutive of any travel plans that include pets.
- b) Policy Compliance: Clients are expected to comply with Eirexecutive's pet policy during their journey.
- c) Limitations: Eirexecutive may refuse service to clients who fail to comply with the pet policy.
5.23 Route Selection
- a) Travel Preferences: Eirexecutive reserves the right to select the most suitable route for the journey.
- b) Route Changes: If a client requests a specific route, Eirexecutive will attempt to accommodate their request.
5.24 Charges for Damages
- a) Responsibility for Damages: Clients are responsible for any damages incurred during their journey.
- b) Damage Assessment: Eirexecutive will assess damages and determine the appropriate charges.
- c) Cost of Repairs: Charges for damages will be based on the cost of repairs or replacement.
6. Limitation of Liability
6.1 General Limitation
Eirexecutive and its affiliates, officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- the use or the inability to use the service;
- any conduct or content of any third party on the service;
- any content obtained from the service; and
- unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Eirexecutive has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
6.2 Circumstances of Non-Liability
- Acts of God: Any loss or damage caused by natural disasters such as earthquakes, floods, hurricanes, or other events beyond our control.
- War and Terrorism: Any loss or damage resulting from acts of war, terrorism, or civil disturbances.
- Government Actions: Any loss or damage caused by government actions, including changes in laws, regulations, or orders.
- Technical Failures: Any loss or damage resulting from technical failures or issues with our website, app, or third-party systems.
- Network Issues: Any loss or damage due to internet or network issues beyond our control.
- User Negligence: Any loss or damage resulting from user negligence or failure to follow provided instructions.
- Unauthorized Access: Any loss or damage resulting from unauthorized access to your account or personal information.
- Third-Party Services: Any loss or damage arising from third-party services, including Independent Transport Provider (ITP).
- Changes in Itinerary: Any additional costs or losses due to changes in itinerary not communicated promptly.
- Service Availability: Any loss or damage due to the unavailability of our services for any reason.
- Delays: Any loss or damage resulting from delays in transportation due to traffic, weather, or other unforeseen circumstances.
- Loss of Property: Any loss or damage to personal property left in vehicles or at pickup/drop-off locations.
- Miscommunication: Any loss or damage due to miscommunication or incorrect information provided by the user.
- Fraudulent Activity: Any loss or damage resulting from fraudulent activity or transactions.
- Medical Emergencies: Any loss or damage resulting from medical emergencies during the use of our services.
- Non-Compliance: Any loss or damage due to non-compliance with local laws and regulations by the user.
- Chauffeurs Actions: Any loss or damage caused by the actions or inactions of Chauffeurs not directly employed by Eirexecutive.
- Force Majeure: Any loss or damage due to events beyond our reasonable control, including strikes, lockouts, and labor disputes.
- Data Loss: Any loss or damage resulting from loss or corruption of data.
- Legal Proceedings: Any loss or damage resulting from legal proceedings involving the user or Eirexecutive, including but not limited to court cases, legal disputes, or regulatory actions.
- Unforeseen Delays: Eirexecutive Ltd. is not liable for any delays caused by unforeseen circumstances, including but not limited to weather conditions, traffic congestion, road closures, accidents, or other unexpected events that are beyond the company's control. Clients are advised to allow sufficient time for travel to mitigate the risk of delays affecting their schedule.
- Missed Appointments: The company is not responsible for missed appointments, flights, connections, meetings, or any other time-sensitive engagements due to delays or route changes. Clients must ensure that they plan their journeys with ample time to accommodate potential delays.
- Loss or Damage to Personal Property: Eirexecutive Ltd. is not liable for the loss, theft, or damage of personal belongings carried by passengers during the journey. Passengers are responsible for the security of their items and should check the vehicle thoroughly before disembarking to ensure no items are left behind.
- Child Safety and Seating: While Eirexecutive Ltd. can provide child seats upon request, the company is not responsible for the installation or proper use of these seats. Parents or guardians are responsible for ensuring that child seats are correctly installed and that children are safely secured during the journey.
- Smoking Violations: The company is not liable for any consequences arising from the termination of a journey due to violations of the no-smoking policy. Clients may also be charged additional fees for cleaning and damages caused by smoking in the vehicle.
- Pet Transport: Eirexecutive Ltd. is not responsible for any incidents involving pets during transportation. Clients must ensure that pets, particularly large dogs traveling in dog boxes, are safely and securely transported. Any damages or issues arising from pet transport are the responsibility of the client.
- Damage to Vehicles: Clients are liable for any damages or soiling caused to Eirexecutive Ltd. vehicles during their hire. This includes the cost of repairs, cleaning, and any loss of service time while the vehicle is being restored to its original condition.
- Forgotten Items: The company is not responsible for items left behind in the vehicle. While Eirexecutive Ltd. will make reasonable efforts to return forgotten items. The company does not guarantee the recovery or return of lost items.
7. Indemnification
7.1 User Responsibility
Users agree to indemnify, defend, and hold harmless Eirexecutive and its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including but not limited to legal fees) arising out of or in connection with:
- Use of the Service: Any use of Eirexecutive's services by the user or any third party using the user's account, including any actions taken by such third parties.
- Violation of Terms: Any breach or violation of these terms and conditions by the user.
- Third-Party Rights: Any claim by a third party alleging that any content submitted by the user infringes, misappropriates, or otherwise violates any intellectual property rights, privacy rights, or other rights of a third party.
- Legal and Regulatory Non-Compliance: Any violation of applicable laws, rules, or regulations by the user in connection with the use of the services.
- Misuse of Account: Unauthorized access or use of the user's account, including any fraudulent, illegal, or wrongful activity conducted through the user's account.
- Damage to Property: Any damage caused to Eirexecutive vehicles or property due to the user's actions or negligence.
- Personal Injury: Any personal injury or property damage caused by the user to any third party while using the service.
- User Content: Any content that the user posts, uploads, shares, or otherwise makes available through the service, including any claims of defamation, libel, slander, obscenity, pornography, harassment, or invasion of privacy.
- Indemnified Party's Negligence: Claims arising out of or related to any gross negligence or willful misconduct by the user.
- Failure to Comply with Instructions: Any claims arising from the user's failure to follow Eirexecutive's instructions or guidelines regarding the use of the service.
- False Information: Any claims resulting from the user providing false, misleading, or incomplete information to Eirexecutive.
- Third-Party Service Interactions: Any interactions, transactions, or dealings between the user and any third-party service providers, including but not limited to Independent Transport Provider (ITPs).
- User Negligence: Any claims resulting from the user's negligence or failure to exercise reasonable care in the use of Eirexecutive's services.
- Breach of Contract: Any breach of contract claims arising from the user's failure to fulfill their obligations under any agreements with Eirexecutive.
- Use of Third-Party Content: Any claims related to the user's use of third-party content or services in connection with Eirexecutive's services.
- Harassment or Misconduct: Any claims arising from the user's harassment, misconduct, or inappropriate behavior towards Eirexecutive staff, ITPs, or other users.
- Product Liability: Any product liability claims related to goods or services provided by Eirexecutive or its partners.
- Data Breach: Any claims related to data breaches or unauthorized access to the user's personal information due to the user's actions or negligence.
- Privacy Violations: Any claims related to the user's violation of privacy laws or regulations.
- Litigation Costs: Any costs and expenses incurred by Eirexecutive in defending against any claims, including court costs, arbitration fees, and other legal expenses.
8. Content Protection and Rights of Use
8.1 Copyright Protection
8.1.1 Ownership
All content available on the Eirexecutive Packages, including but not limited to text, graphics, logos, images, and software, is the property of Eirexecutive or its content suppliers and is protected by international copyright laws.
8.1.2 Exclusive Rights
Eirexecutive retains all rights, title, and interest in and to the Eirexecutive Packages, including all intellectual property rights. No transfer of ownership or rights is implied through the use of the service.
8.2 Granted Rights of Use
8.2.1 Limited License
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Eirexecutive Packages strictly in accordance with these terms and conditions.
8.2.2 Intended Purpose
The Eirexecutive Packages may only be used for its intended purpose, which is to facilitate the booking and management of transportation services through Eirexecutive. Any other use is strictly prohibited.
8.2.3 Prohibited Actions
- Copying, reproducing, distributing, or creating derivative works from the content of the Eirexecutive Packages.
- Reverse engineering, decompiling, or disassembling the software or any other aspect of the Eirexecutive Packages.
- Removing or altering any copyright, trademark, or other proprietary notices from the Eirexecutive Packages.
- Using any automated systems or software to extract data from the Eirexecutive Packages for commercial purposes ("screen scraping").
8.2.4 Revocation of License
Eirexecutive reserves the right to revoke the user's license to use the Eirexecutive Packages at any time if the user is found to be in violation of these terms and conditions or is engaged in unauthorized or illegal activities.
8.2.5 Compliance with Laws
Users must comply with all applicable laws and regulations regarding their use of the Eirexecutive Packages and must not use the tool for any unlawful or prohibited purpose.
8.3 User Content
8.3.1 Ownership of User Content
Users retain ownership of any content they submit to the Eirexecutive Packages, such as reviews or feedback.
8.3.2 License to Eirexecutive
By submitting content, users grant Eirexecutive a worldwide, royalty-free, perpetual, irrevocable, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.
8.3.3 Responsibility for Content
Users are solely responsible for the content they submit and must ensure that it does not infringe on the rights of any third party or violate any laws.
8.3.4 Right to Remove Content
Eirexecutive reserves the right to remove any content submitted by users that it deems, in its sole discretion, to be inappropriate, offensive, or in violation of these terms and conditions.
9. Warranty
9.1 Service Quality Warranty
9.1.1 General Assurance
Eirexecutive endeavors to provide high-quality transportation services and ensure that the Eirexecutive Packages functions effectively and efficiently. However, Eirexecutive does not warrant that the service will meet all user requirements or be uninterrupted, timely, secure, or error-free.
9.1.2 Transportation Services
While Eirexecutive arranges transportation services with reputable Independent Transport Provider (ITPs), it does not warrant the quality, suitability, safety, or ability of any ITP. Users agree that the entire risk arising out of their use of the services remains solely with them.
9.2 Limitations of Warranty
9.2.1 As-Is Basis
The Eirexecutive Packages and all related services are provided on an "as-is" and "as-available" basis. Eirexecutive expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
9.2.2 No Warranty for Accuracy
Eirexecutive does not warrant that the information provided through the Eirexecutive Packages, including but not limited to pricing, availability, and descriptions, is accurate, complete, or current at all times.
9.2.3 Third-Party Services
Eirexecutive makes no warranty regarding any services provided by third parties, including Independent Transport Provider. Any issues or disputes with third-party services must be addressed directly with the respective provider.
9.3 User Responsibilities
9.3.1 Compliance with Terms
Users are responsible for ensuring that their use of the Eirexecutive Packages and related services complies with these terms and conditions, and all applicable laws and regulations.
9.3.2 System Requirements
Users are responsible for ensuring that their devices and internet connection meet the necessary requirements to access and use the Eirexecutive Packages. Eirexecutive does not warrant that the service will be compatible with all devices or internet connections.
9.4 Exclusions
9.4.1 Certain Jurisdictions
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to users. In such jurisdictions, Eirexecutive's liability will be limited to the fullest extent permitted by applicable law.
9.5 Duration of Implied Warranties
9.5.1 Legal Limitations
To the extent permitted by law, any implied warranties that cannot be disclaimed are limited to sixty (60) days or the minimum duration permitted by law, whichever is shorter.

Treat all members of the Eirexecutive community, including Chauffeurs, passengers, and staff, with courtesy and respect. Abusive, harassing, or discriminatory behavior will not be tolerated.
10.1.2 Professional Conduct
Maintain a professional demeanor in all interactions. This includes using appropriate language and avoiding offensive comments or gestures.
10.2 Safety and Compliance
10.2.1 Follow Instructions
Adhere to all instructions provided by Eirexecutive staff and Chauffeurs. This includes following safety guidelines and vehicle regulations.
10.2.2 Local Laws
Comply with all local, state, and federal laws while using Eirexecutive services. This includes traffic laws and regulations regarding transportation.
10.3 Responsible Use of Services
10.3.1 Accurate Information
Provide accurate and truthful information when booking services. This includes contact details, pickup and drop-off locations, and any special requirements.
10.3.2 Timely Cancellations
Notify Eirexecutive of any cancellations or changes to bookings as soon as possible. Follow the specified cancellation policies to avoid unnecessary charges.
10.4 Privacy and Confidentiality
10.4.1 Respect Privacy
Respect the privacy of other users and Eirexecutive staff. Do not share personal information or conversations without consent.
10.4.2 Confidentiality
Maintain confidentiality of any sensitive information obtained through the use of Eirexecutive services.
10.5 Prohibited Activities
10.5.1 Illegal Activities
Do not engage in any illegal activities while using Eirexecutive services. This includes, but is not limited to, drug use, solicitation, and carrying illegal substances.
10.5.2 Damage and Vandalism
Do not damage or vandalize Eirexecutive vehicles or property. Users are responsible for any damages caused and will be charged for repairs and loss of service.
10.5.3 Weapons
Do not carry weapons or dangerous objects in Eirexecutive vehicles.
10.6 Feedback and Reporting
10.6.1 Provide Feedback
Constructive feedback is encouraged to help improve Eirexecutive services. Share your experiences and suggestions with Eirexecutive through the appropriate channels.
10.6.2 Report Violations
Report any violations of these Community Guidelines to Eirexecutive. This helps maintain a safe and respectful environment for all users.
10.7 Enforcement and Consequences

Continued use of Eirexecutive services constitutes acceptance of these guidelines and any updates.
11. Miscellaneous
11.1 Severability
If any provision of these terms and conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
11.2 Entire Agreement
These terms and conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral.
11.3 Waiver
No waiver of any provision of these terms and conditions shall be effective unless explicitly set forth in writing and signed by the party waiving the provision. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these terms and conditions shall operate or be construed as a waiver thereof.
11.4 Force Majeure
Eirexecutive shall not be liable for any failure or delay in performing its obligations under these terms and conditions if such failure or delay is caused by any event beyond its reasonable control, including but not limited to acts of God, war, strikes, or labor disputes, embargoes, government orders, or any other force majeure event.
11.5 Assignment
The client may not assign any of their rights or obligations under these terms and conditions without the prior written consent of Eirexecutive. Eirexecutive may assign its rights or obligations under these terms and conditions at any time without notice to the client.
11.6 Notices
All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and shall be deemed to have been given when delivered by hand, sent by a nationally recognized overnight courier, or mailed by registered or certified mail (postage prepaid, return receipt requested).
11.7 Amendments
Eirexecutive reserves the right to amend these terms and conditions at any time. Any such amendments will be effective immediately upon posting the revised terms on Eirexecutive’s website or otherwise notifying the client.
11.8 Third-Party Beneficiaries
These terms and conditions do not and are not intended to confer any rights or remedies upon any person other than the parties hereto.
11.9 Headings
The headings in these terms and conditions are for reference only and shall not affect the interpretation of these terms and conditions.
11.10 Electronic Communications
By using Eirexecutive’s services, the client consents to receiving electronic communications from Eirexecutive. These communications may include notices about the client’s account and information concerning or related to the services. The client agrees that any notices, agreements, disclosures, or other communications that Eirexecutive sends electronically will satisfy any legal communication requirements, including that such communications be in writing.
11.11 Survival
The provisions of these terms and conditions which by their nature should survive the termination of these terms and conditions shall survive such termination, including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

In certain cases, an independent assessment may be commissioned to ensure an impartial evaluation of the complaint. This step is taken to maintain transparency and objectivity in the investigation process, providing confidence to the complainant that the issue is being handled with due diligence and fairness.
12.4 Refunds:
If the investigation concludes that Eirexecutive Ltd. is at fault, appropriate refunds will be issued to the complainant. The amount of the refund will be determined based on the nature of the complaint and the extent of the inconvenience caused. Refunds are intended to provide fair compensation for the specific issue raised.
12.5 Refund Limits:
Refunds will be limited to the amount paid for the hire. This policy ensures that compensation is fair and proportionate to the service provided. Any refund issued will reflect the nature of the complaint and the extent of the inconvenience caused.
13. Insurance, Loss, or Damage
13.1 Insurance Coverage:
Eirexecutive Ltd. ensures that all vehicles are fully insured for passenger or third-party claims. This insurance coverage provides protection against potential liabilities arising from accidents or incidents that may occur during the hire period.
13.2 Passenger Risk:
While the vehicles are insured, personal property carried by passengers is transported at the passenger's own risk. Eirexecutive Ltd. advises passengers to take necessary precautions to safeguard their belongings during transit.
13.3 Responsibility for Loss:
Eirexecutive Ltd. is not responsible for any loss or damage to personal property. Passengers are encouraged to be vigilant and take care of their possessions while using our services. The company will not be held liable for any personal items that are lost or damaged.
13.4 Damage Liability:
Passengers are responsible for any damage caused to Eirexecutive Ltd. property. This includes damage to the vehicle’s interior or exterior due to negligence, recklessness, or intentional acts. The cost of repairs for any such damage will be charged to the passenger responsible.
13.5 Additional Costs:
The hirer is liable for any additional costs incurred due to passenger actions. This includes, but is not limited to, cleaning fees for excessive dirt or mess, costs for repairing damages, and any other expenses arising from the passenger’s behavior. The company reserves the right to charge the hirer for these additional costs.
14. Customer Satisfaction
14.1 Vehicle Presentation:
Eirexecutive Ltd. ensures that all vehicles will be presented in pristine condition. Our fleet is meticulously maintained to provide a clean, comfortable, and pleasant environment for all passengers, reflecting our commitment to high service standards.
14.2 Chauffeurs Conduct:
Chauffeurs employed by Eirexecutive Ltd. are trained to be courteous and helpful in every way possible. They are expected to demonstrate professionalism, respect, and a willingness to assist passengers, ensuring a positive experience from start to finish.
14.3 Feedback Encouraged:
Eirexecutive Ltd. values feedback from passengers and encourages it as a means to continually improve our services. Feedback can be provided through the contact details available on the company’s website. Constructive criticism and positive remarks alike are appreciated and will be used to enhance service quality.
14.4 Issue Reporting:
